These Terms & Conditions apply to creative services provided by Olive Tree Creative (“we”, “us” or “our”) to our clients (“you” or “your”).
They should be read alongside your project proposal, quotation or written agreement, which sets out the specific services, deliverables, fees and timescales agreed for your project.
By accepting a quotation or proposal, or otherwise confirming an instruction to proceed, you agree to the applicable terms.
Olive Tree Creative provides branding, graphic design, website design and development, digital design and related creative services.
The exact services we will provide will be set out in your quotation or proposal. Any work not specifically included will be treated as additional work and may incur additional charges.
We will use our professional judgement and expertise to deliver work in line with the agreed brief. Creative work is subjective, and we cannot guarantee specific commercial results, search engine rankings, website traffic or sales.
All quotations are based on the information available to us at the time of preparation.
Unless otherwise stated, quotations are valid for 30 days from the date of issue.
A project is considered confirmed when you accept our quotation or proposal in writing, agree to proceed by another documented method, or make the required initial payment, whichever occurs first.
Any changes to the agreed brief, deliverables or project requirements may affect the price and delivery timescale. We will discuss any significant changes with you before undertaking additional chargeable work.
Unless otherwise stated in your quotation, we require an initial payment or deposit before work begins.
The amount and payment schedule will be specified in your quotation or invoice.
Your initial payment secures our time and allows us to schedule and begin work on your project. Depending on the agreed scope, this may include project planning, research, briefing, design development, website wireframes and other initial work.
Payments are not automatically refundable simply because you decide not to proceed. If you cancel a project, we will assess the work completed, costs incurred and any other recoverable losses arising from the cancellation, subject to the terms of your agreement and applicable law.
Where the value of work completed and recoverable costs is less than the amount paid, any balance due to you will be refunded. Where the amount properly due exceeds payments already made, we may invoice you for the outstanding balance, where permitted by the contract and applicable law.
Invoices must be paid within the payment period stated on the invoice. Unless otherwise agreed, our standard payment term is 14 days from the invoice date.
We reserve the right to pause work where an invoice remains unpaid, after giving reasonable notice where appropriate. Any resulting changes to the project schedule will be discussed with you.
We understand that circumstances can change. If you wish to cancel or postpone a project, please notify us in writing as soon as possible.
If you cancel a project after work has begun, we will calculate the amount due based on the work completed up to the cancellation date, any third-party costs or commitments reasonably incurred, and any other direct losses recoverable under the agreed contract and applicable law.
We will take reasonable steps to minimise any losses arising from cancellation.
Any payment already made will be set against the amount properly due. We will refund any excess or invoice any outstanding balance, as appropriate.
Where a project is postponed, we will try to accommodate a revised schedule, subject to availability. If a project is delayed for an extended period because we have not received the information, content, feedback or approvals needed from you, we may need to reschedule the work. Any additional costs will be discussed and agreed before being incurred.
We reserve the right to suspend or terminate a project if you materially breach the agreement, fail to make payment, or repeatedly fail to provide the information or approvals needed to proceed. Where appropriate, we will give you notice and a reasonable opportunity to resolve the issue.
Nothing in this section limits any cancellation or termination rights you may have under applicable law.
To help us deliver your project effectively, you agree to:
Provide accurate information, content, images, copy and other materials required for the project.
Ensure that you have the necessary rights and permissions to use any materials you supply.
Provide feedback, decisions and approvals within agreed timescales.
Nominate an appropriate person to approve work and communicate decisions where required.
Check all final artwork, content, links, contact details and other supplied information before approving work for production or publication.
Make payments in accordance with the agreed schedule.
Delays in receiving materials, feedback or approvals may affect the project timescale. If significant additional work or rescheduling is required as a result, we will discuss any associated costs with you.
The quotation will specify the deliverables included and, where applicable, the number of concepts, revision rounds or design hours allowed.
A revision is a reasonable adjustment to an existing design within the agreed brief. A substantial change of direction, new concept, additional deliverable or change to an approved design may be treated as additional work.
We will advise you if a request falls outside the agreed scope and confirm any additional charges before proceeding.
Once you approve a design, artwork or other deliverable, further changes may incur additional charges.
We will obtain your approval before proceeding to any stage that requires your sign-off, where appropriate to the project.
Website projects are delivered according to the scope and specification agreed in your quotation.
Unless expressly included, our quotation does not cover ongoing website maintenance, hosting, domain registration, premium plugins, third-party subscriptions, paid stock assets, copywriting, search engine optimisation campaigns or other external services.
Where a website depends on third-party platforms, software, plugins or services, we cannot guarantee that those providers will remain available, unchanged or compatible indefinitely.
We will take reasonable care when designing and developing your website. However, no website can be guaranteed to be entirely free from technical issues, security threats or interruptions.
You are responsible for maintaining appropriate access credentials, renewing services registered in your name and keeping any services outside our agreed scope up to date.
Any ongoing support, maintenance or hosting arrangements will be set out separately.
Unless otherwise agreed in writing, we retain ownership of our original design concepts, working files, unused concepts, preliminary designs, methods and other materials created during the project until the agreed fees have been paid in full.
Once all sums due for the relevant project have been paid, we will grant or transfer to you the agreed rights in the final approved deliverables, as specified in your quotation or written agreement.
Unused concepts, rejected designs and preliminary work are not included in the transfer unless agreed separately.
Third-party materials, including fonts, stock photography, illustrations, software and plugins, remain subject to the relevant third-party licence terms. You may need to purchase or maintain your own licences.
Where editable source files or working files are not expressly included in the quotation, they are not automatically part of the final deliverables.
You must not use, reproduce or distribute unpaid work or unused concepts without our written permission.
Some projects require third-party products or services, such as hosting providers, domain registrars, website platforms, plugins, fonts, stock imagery or external software.
These may carry additional fees and their own terms and conditions. Unless specifically included in our quotation, such fees are payable separately by you.
We are not responsible for changes, outages, price increases or failures caused by third-party providers outside our reasonable control. Where an issue affects your project, we will explain the situation and discuss reasonable next steps.
You are responsible for ensuring that the information and materials you provide are accurate, lawful and suitable for publication, including any claims about your products or services.
Unless expressly included in the agreed scope, we do not provide legal advice or guarantee that your website, privacy notices, cookie notices, accessibility arrangements or other business materials meet every legal or regulatory requirement applicable to your organisation.
You should obtain appropriate professional advice where required.
We will treat confidential information you provide to us with reasonable care and will not knowingly disclose it to third parties except where necessary to deliver the agreed services, where authorised by you, or where required by law.
Unless otherwise agreed in writing, we may display completed work in our portfolio, on our website, on social media and in other promotional materials to demonstrate our services.
If a project is confidential, subject to a launch embargo or otherwise unsuitable for public display, please tell us in writing before work begins so that we can agree appropriate arrangements.
We will exercise reasonable care and skill when providing our services.
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
Subject to those restrictions and applicable law, we will not be liable for indirect or consequential losses, loss of profits, loss of anticipated savings or loss of business opportunities arising from a project.
We are not responsible for losses caused by inaccurate information or materials supplied by you, unauthorised changes made by you or third parties, or failures of third-party services outside our reasonable control.
Any applicable limitation of liability must be reasonable and lawful in the circumstances. Nothing in these terms removes any rights or remedies that cannot legally be excluded.
Neither party will be treated as being in breach of the agreement where performance is delayed or prevented by circumstances reasonably beyond their control.
The affected party will notify the other as soon as reasonably possible and both parties will discuss an appropriate way forward.
Any fees due for work already completed and recoverable costs properly incurred will remain payable, subject to the agreement and applicable law.
If a concern or disagreement arises, both parties agree to make a reasonable effort to resolve it through open communication.
Please contact us in writing with details of the issue. We will review the matter and aim to respond within a reasonable period.
If the matter cannot be resolved informally, either party may seek independent advice or pursue any remedies available under the agreement and applicable law.
We may update these terms from time to time. The version applicable to your project will normally be the version agreed when your project was confirmed.
Any material change to the terms of an existing project must be agreed by both parties in writing.
These terms and any dispute or claim arising from them will be governed by the laws of England and Wales, unless applicable law requires otherwise.
The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
